These are two brands targeted to different markets. MSI is definitely targeted to class A-B market. Its on Top there with ASUS,GIGABYTE, EPOX, DFI(Use to be low end)
Asus decided to come up with an entry Level brand, hence, ASROCK a sister company of asus.
Once in a awhile these Low end companies come up with an "ACE" Product that eventually beat up the top dogs. Take DFI for example, it was once a very low end Mobo maker, now, they have one of the most high end enthusiast level mobo's targeted to overclockers.

ASROCK just so happens to come up with something of its own introducing a new chipset, the "ULI" which has very awesome reviews. If it can stand the test of time it may raise it self to a higher level. But right now, its got a board that can perform better or at PAR with the best (On the enthusiast/overclocking/gaming Level @ the price of an mi-entry level board)
