    bro i will try to make it more simple as possible;

    -shares of stocks represent the percentage of your ownership to the overall business. naturally the more shares you have, the bigger your voice with regards to the business making decisions specially the major ones.

    if you want to avoid complications, better have equal shares tanan so equal voice mo...what are these decision makings? these could be plan for expansion, purchase of major capital investments, etc.

    however in every venture, partners have major competency so one partner handles marketing, productions, finance, etc....division of tasks bah...

    you have hired an accountant dba? you can ask him more fully para ma explainan k abro..iron this out before starting the business.. clear the rules of engagement para dili mo paglalis imo partners..

    hope this helps...

    to make things simple....

    the topic refers to 2 person only, first is the investor, the other is the operation guy (industrial partner). the basic principle here is that the Industrial partner will run the business either operations or marketing or both. the investor of course will be the financer and will fund the business itself. the industrial partner will be an employee and will be paid on his experties plus maybe maximum of 20% on the income of the company (commision) depending on the agreement by both parties. The investor in the hand will just monitor the operation and oversee. what ever plans/ programs/ strategies the industrial partner must be with the knowledge or approval of investor of course.

    I have tried both....

    boss earnest, since you will be the investor, have your partner lay out his short term and long term plans. specially let him lay out annual budget needed so you can prepare which part of the year you will shedding your cash. Check also his marketing strategy, target markets, target profits. Actually dapat naka lapag ang tanan. you can take care the accounting side while he does the operation and marketing so there will be check and balance. simple partnership lang experience nako boss but its good experience.
