Instructions are all in the wordpress site: http://codex.wordpress.org/Upgrading_WordPress

I could get a nosebleed too. That's why I am not upgrading for now.

eh, you can even just download the wordpress archive and just overwrite all the files then go to http://www.yourwebsite.com/wp-admin/upgrade.php. It's worked for me for years.

Directly overwriting is okay if there is nothing to lose from your modified templates and plugins. Just be careful and know what you're doing.

if you want some precautions and you're too paranoid that nothing bad will really happen on your site, I suggest you start backing up your files and even your database

If you are going to back up anything, it's the database. The files are replaceable, all the data is in the DB.
